1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Clear Web LLC ("Better Website," "Company," "we," "us," or "our"), located at 1890 Independence Blvd, Ann Arbor, Michigan, 48104 — email: sales@better.website — governing your access to and use of https://www.better.website and all related services (collectively, the "Services").
By accessing or using our services, requesting a free mockup, or purchasing any service, you agree to these Terms. Please do not use our services if you disagree. These Terms incorporate our Privacy Policy by reference.
2. Description of Services
Better Website provides website redesign and digital marketing services for small and medium-sized businesses.
2.1 Free Website Mockup
We offer a complimentary website mockup based on your existing website. This mockup is developed by our design team, deployed to a temporary preview URL on Vercel for your review, and provided for evaluation purposes only. It does not constitute a final deliverable and is not guaranteed to be preserved beyond 7 days from delivery unless you purchase a Service plan.
2.2 Paid Service Plans
We offer paid website design and delivery services. Current pricing tiers are subject to change and are presented at the time of purchase:
- Starter Plan — entry-level website redesign service
- Growth Plan — enhanced design and features
- Premium Plan — comprehensive redesign with advanced features
The specific deliverables, timeline, and features for each plan will be communicated via email and/or invoice prior to purchase. We reserve the right to update pricing tiers at any time with reasonable advance notice.
2.3 Ancillary Services
We may also offer branding identity development, digital marketing services (including ad campaign management, landing page creation, and email marketing setup), as mutually agreed upon in writing.
3. Eligibility
To use our Services, you must: be at least 18 years of age; have the legal capacity to enter into binding contracts; not be barred from receiving services under applicable law; and be a business owner or authorized representative acting on behalf of a business. By using our Services, you represent that you meet all eligibility requirements.
4. Account and Communications
4.1 Customer Account
Certain features may require you to provide contact and business information. You agree to provide accurate, current, and complete information and to keep it updated.
4.2 Email Communications
By engaging with Better Website, you consent to receive transactional and service-related emails. You may opt out of marketing emails at any time by clicking "Unsubscribe" in any marketing email or by contacting us at sales@better.website.
4.3 SMS Communications
SMS communications are governed by our Privacy Policy. You must explicitly opt in before receiving SMS messages.
5. Payment Terms
5.1 Pricing and Invoicing
All paid Services will be invoiced via email in U.S. dollars (USD), exclusive of applicable taxes.
5.2 Payment Processing
All payments are processed securely by Stripe, Inc. By completing a payment, you also agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card information.
5.3 Subscriptions and Recurring Billing
Some Service plans are offered on a subscription basis with recurring billing. Your payment method will be charged automatically at the start of each billing cycle. You will be notified in advance of any price changes. You may cancel at any time per Section 5.5.
5.4 Taxes
You are responsible for all applicable federal, state, and local taxes. We will collect sales tax where legally required.
5.5 Cancellation Policy
For subscription-based Services, you may cancel at any time by contacting sales@better.website. Cancellation takes effect at the end of the current billing cycle. You retain access through the end of the paid period. No partial refunds are issued for unused portions of a billing cycle, unless required by applicable law.
5.6 Refund Policy
Please read this section carefully. Free mockups involve no payment and therefore no refund applies. The first month of a new subscription is non-refundable once service delivery has begun. Refunds for subsequent billing cycles may be issued on a pro-rata basis only in the event of a documented service-level issue. If you believe a charge was made in error, contact us at sales@better.website within 30 calendar days of the charge.
We reserve the right to modify this refund policy at any time with 30 days' written notice to existing customers.
6. Intellectual Property
6.1 Company IP
All content, software, designs, mockups, templates, code, branding, and materials created by Better Website are our exclusive intellectual property. You may not copy, reproduce, distribute, or create derivative works without express written permission.
6.2 Your Content
You retain ownership of your existing website content, logos, images, and brand materials that you provide to us. By providing such materials, you grant Better Website a limited, non-exclusive, royalty-free license to use them solely for the purpose of delivering the Services.
6.3 Deliverables
Upon receipt of full payment, you are granted a limited, non-exclusive, non-transferable license to use the final delivered website design for your business purposes. Ownership of underlying design templates and frameworks remains with Better Website.
6.4 Testimonials and Case Studies
You agree that Better Website may use your business name and general project description as a case study or testimonial in our marketing materials, unless you notify us in writing that you object.
7. Acceptable Use
You agree not to use our Services to: violate any applicable law or third-party rights; submit false or fraudulent information; interfere with our website or systems; attempt unauthorized access to our data; harm Better Website's reputation; or engage in any illegal or unethical commercial purpose.
8. Third-Party Services
Our Services integrate with Stripe, Zoho, Meta, and Vercel. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of them is subject to their respective terms. Better Website is not affiliated with or endorsed by these third parties unless expressly stated.
9. Disclaimers
The Services are provided "as is" and "as available" without any warranties, including those of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that specific business results (such as increased traffic or sales) are guaranteed, that the Services will be available at all times, or that mockups and designs will meet all requirements without client review and approval.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Better Website, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages arising from reliance on AI-generated content; or third-party service failures.
11. Indemnification
You agree to indemnify and hold harmless Better Website and its owners, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content or materials you provide to us.
12. Termination
12.1 By You
You may terminate your engagement at any time by contacting sales@better.website. Subscription termination is subject to Section 5.5.
12.2 By Us
We reserve the right to suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if your actions may cause legal or reputational harm to Better Website.
12.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. Sections 6, 9, 10, 11, 14, and 15 survive termination.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will update the "Last Updated" date, post the revised Terms on our website, and notify existing customers by email at least 14 days before changes take effect. Your continued use after the effective date constitutes acceptance.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Michigan, United States of America, without regard to conflict of law provisions. Any legal action not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Washtenaw County, Michigan.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to contact us at sales@better.website to attempt informal resolution. We will attempt to resolve disputes within 30 business days of receiving written notice.
15.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Ann Arbor, Michigan (or remotely if mutually agreed). The arbitrator's decision shall be final and binding.
15.3 Exceptions
Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims under $500 may be brought in small claims court.
15.4 Class Action Waiver
You agree that any disputes will be resolved on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration against Better Website.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Better Website regarding the Services.
16.2 Severability
If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
16.3 Waiver
Our failure to enforce any right or provision will not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure
Neither party shall be liable for any delay or failure to perform resulting from causes beyond their reasonable control, including acts of God, natural disasters, government actions, or third-party service outages.
